Terms of Service

1. Acceptance of Terms

By accessing, registering for, or using Wipe AI (operated at wipeai.cloud, "the Service", "we", "us", or "our"), you agree to be legally bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional policies referenced herein. If you do not agree to all of these Terms, you must immediately discontinue use of the Service.

These Terms constitute a binding legal agreement between you ("User", "you") and Wipe AI. Your continued use of the Service after any modifications to these Terms constitutes acceptance of the updated Terms.

2. Description of Service

Wipe AI is an AI-powered video processing platform that allows users to remove watermarks, text overlays, logos, and other unwanted visual elements from video content. The Service operates on a credit-based system ("tokens") where credits are consumed based on the duration of video processed.

The Service is provided on a best-effort basis. Video processing quality may vary depending on the content, resolution, complexity of the elements being removed, and other technical factors. We do not guarantee any specific output quality or that every element will be removed successfully.

3. Eligibility and User Accounts

• You must be at least 13 years of age to use this Service. If you are under 18, you represent that you have your parent or guardian's permission to use the Service.
• You must provide accurate, complete, and current information when creating your account. Providing false information is grounds for immediate account termination.
• You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You may only create one account per person. Creating duplicate or multiple accounts (including to circumvent bans, token limits, or free-tier restrictions) is strictly prohibited and may result in all associated accounts being permanently suspended.
• You must notify us immediately at support@wipeai.cloud if you suspect unauthorized access to or use of your account.
• We reserve the right to refuse registration or cancel accounts at our sole discretion.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in a manner that does not infringe the rights of others. You expressly agree not to use the Service to:

• Remove, alter, or bypass watermarks, copyright notices, digital rights management (DRM) systems, or other ownership identifiers from content you do not own or for which you do not have explicit written authorization from the rightful owner.
• Process, distribute, or publish any video content in violation of applicable copyright, trademark, or intellectual property laws, including but not limited to the Digital Millennium Copyright Act (DMCA) and equivalent international legislation.
• Remove watermarks from commercially licensed stock footage, media obtained from platforms such as Getty Images, Shutterstock, Adobe Stock, or similar services, unless you own a license that explicitly permits such modification.
• Process content containing child sexual abuse material (CSAM) or any content that exploits or harms minors — such activity will be immediately reported to the relevant law enforcement authorities.
• Process content that constitutes hate speech, incitement to violence, non-consensual intimate imagery ("deepfake porn"), or other illegal content.
• Attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code or underlying AI models of the Service.
• Scrape, crawl, or use automated tools to access the Service in a manner that imposes an unreasonable load on our infrastructure.
• Resell, sublicense, or commercially redistribute the Service or its outputs without our prior written consent.
• Attempt to circumvent, disable, or interfere with security features, token limits, rate limits, or access controls.
• Use the Service to engage in fraud, impersonation, phishing, or any other deceptive activity.

We reserve the right to investigate any suspected violation of this Acceptable Use Policy and to suspend or terminate accounts accordingly, with or without prior notice, and without refund of any unused credits.

5. Credit (Token) System

The Service operates on a token-based credit system. The following terms apply to all tokens/credits:

• Consumption rate: One (1) token is consumed for every one (1) second of video duration submitted for processing. Tokens are deducted at the time processing begins, regardless of the final output quality.
• Non-refundable: Tokens are consumed upon initiating processing and are non-refundable, including in cases of processing failure, output quality dissatisfaction, or account termination, except as required by applicable law or as expressly stated in our refund policy below.
• Non-transferable: Tokens are tied to your individual account and may not be transferred, gifted, sold, or assigned to another account.
• No cash value: Tokens have no monetary value and cannot be redeemed for cash.
• Expiration: Free tokens granted upon registration do not expire while your account remains active. Purchased tokens do not expire unless otherwise stated at the time of purchase.
• Price changes: We reserve the right to change the token pricing, token consumption rates, or allocation at any time. Changes will be communicated with at least 14 days' notice via email or an in-app notification.
• Free tier: We may offer free tokens to new users at our discretion. We reserve the right to modify or discontinue the free tier at any time without notice.

6. Payment, Billing, and Subscriptions

Paid features of the Service are processed through Stripe, Inc., a PCI-DSS Level 1 compliant payment processor. By making a purchase, you agree to Stripe's Terms of Service.

• Payment authorization: By providing payment information, you authorize us to charge the applicable fees to your chosen payment method.
• Subscriptions: If you purchase a subscription plan, you authorize recurring charges at the stated billing interval (monthly or annually) until you cancel. Subscription fees are billed in advance.
• Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the period ends; no partial refunds are issued for unused subscription time unless required by law.
• Failed payments: If a payment fails, we will attempt to retry the charge. Continued payment failure may result in suspension or downgrade of your account to the free tier.
• Taxes: Prices are exclusive of applicable taxes (VAT, GST, sales tax, etc.) unless stated otherwise. You are responsible for all applicable taxes.
• Currency: All charges are in US Dollars (USD) unless otherwise stated.

7. Refund Policy

Due to the nature of digital goods and AI processing, our refund policy is as follows:

• Token purchases: Tokens are generally non-refundable once purchased. If you experience a technical failure on our end that prevents processing and tokens are incorrectly deducted, please contact us at support@wipeai.cloud within 7 days and we will review your case.
• Subscriptions: We offer a 48-hour money-back guarantee for first-time subscription purchases. If you are unsatisfied, contact us within 48 hours of your first payment and we will issue a full refund. This applies only to the first billing cycle.
• Exceptional circumstances: If you believe you are entitled to a refund for reasons not covered above, please contact us. We review each case individually and reserve the right to grant or deny refunds at our sole discretion.
• Refunds required by applicable consumer protection laws will always be honored.

8. Intellectual Property

Your content: You retain full ownership of all video files you upload to and download from the Service. We claim no ownership rights over your content.

License to process: By uploading content, you grant Wipe AI a limited, non-exclusive, royalty-free, temporary license to store, process, and transmit your content solely for the purpose of providing the Service to you. This license terminates when the processing is complete and the file is deleted from our systems (within 24 hours of processing completion).

Our intellectual property: The Service, including its AI models, software, website, branding, and all associated technology, is owned by Wipe AI and protected by copyright, trademark, trade secret, and other applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service or software.

Feedback: If you submit suggestions, feedback, or ideas to us, you grant us a perpetual, worldwide, royalty-free license to use and incorporate such feedback without obligation to you.

9. Privacy and Data Handling

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand how we collect, use, and protect your information.

Key points relevant to these Terms:

• Uploaded video files are processed and deleted from our servers within 24 hours of processing completion.
• We do not train our AI models on your video content.
• We do not sell your personal data to third parties.

10. Disclaimers and Warranty Disclaimer

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, WIPE AI EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Any warranty that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
• Any warranty regarding the accuracy, reliability, completeness, or quality of the AI-processed video output.
• Any warranty that the Service will meet your specific requirements.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you to the extent prohibited by applicable law.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WIPE AI, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, punitive, or exemplary damages.
• Loss of profits, revenue, data, goodwill, or other intangible losses.
• Damages resulting from your inability to access or use the Service.
• Damages resulting from any unauthorized access to or alteration of your content or transmissions.
• Damages resulting from any third-party conduct or content on the Service.

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WIPE AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO WIPE AI IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $50.

The limitations above reflect a reasonable allocation of risk and are an essential basis of the bargain between you and Wipe AI.

12. Indemnification

You agree to defend, indemnify, and hold harmless Wipe AI and its officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms.
• Your use of the Service, including processing of any content.
• Any content you upload, including any claim that such content infringes or misappropriates the intellectual property rights of a third party.
• Your violation of any applicable law or regulation.
• Any misrepresentation made by you.

13. DMCA / Copyright Infringement

We respect intellectual property rights and expect users to do the same. If you believe that content processed through our Service infringes your copyright, please send a written notice to legal@wipeai.cloud containing:

• A description of the copyrighted work you claim has been infringed.
• Sufficient information to identify the alleged infringing material.
• Your contact information (name, address, phone number, email).
• A statement that you have a good faith belief that the use is not authorized.
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf.
• Your physical or electronic signature.

We will respond to valid DMCA notices in accordance with applicable law.

14. Third-Party Services

The Service relies on the following third-party providers, each subject to their own terms and privacy policies:

• Supabase (database and authentication) — supabase.com/terms
• Stripe (payment processing) — stripe.com/legal
• Vercel (hosting and infrastructure) — vercel.com/legal/terms
• Modal Labs (AI/GPU video processing) — modal.com/legal/terms
• Google (OAuth authentication) — policies.google.com/terms

We are not responsible for the practices or content of these third-party services.

15. Service Availability and Modifications

We do not guarantee that the Service will be available at all times. We may experience hardware, software, or other problems requiring maintenance, resulting in interruptions, delays, or errors. We reserve the right to:

• Modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice.
• Change the features, functionality, or pricing of the Service at any time.
• Impose limits on certain features or restrict access to parts or all of the Service.

We will make reasonable efforts to provide advance notice of significant service changes or discontinuation.

16. Account Termination

By you: You may delete your account at any time through your account settings or by contacting us at support@wipeai.cloud. Upon deletion, your personal data will be removed in accordance with our Privacy Policy. Unused tokens are forfeited upon account deletion and will not be refunded.

By us: We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for conduct that we believe violates these Terms, applicable law, or is harmful to other users, us, or third parties. If we terminate your account for our convenience (not due to your breach), we will refund any unused purchased token balance on a pro-rata basis.

Upon termination, all licenses granted to you under these Terms will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including Sections 8 (Intellectual Property), 10–12 (Disclaimers, Liability, Indemnification), and 18 (Governing Law).

17. Changes to These Terms

We may update these Terms at any time. When we make material changes, we will notify you by:

• Sending an email to the address associated with your account, and/or
• Displaying a prominent notice within the Service.

The updated Terms will indicate the date of the latest revision at the top of this page. Changes take effect 14 days after notification for existing users, or immediately for new users. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service and may delete your account.

18. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.

Informal resolution: Before filing any formal legal claim, you agree to first contact us at legal@wipeai.cloud and attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days of receiving your notice.

Binding arbitration: If a dispute cannot be resolved informally, both parties agree to resolve it through binding arbitration rather than in court, except as provided below. Arbitration proceedings will be conducted in English.

Exceptions: Either party may seek injunctive or other equitable relief in a court of competent jurisdiction for claims involving intellectual property infringement or unauthorized access to the Service.

Class action waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

19. General Provisions

• Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Wipe AI regarding the Service and supersede all prior agreements.
• Severability: If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Force majeure: We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, pandemics, government actions, internet outages, or third-party service failures.
• No agency: These Terms do not create any partnership, joint venture, agency, or employment relationship between you and Wipe AI.
• Language: These Terms are written in English. Any translated version is provided for convenience only; the English version controls in the event of any conflict.
